# Derivative suits don't carry the company name in the caption

**Observed 2026-10-08.** Capricor's 10-Q discloses a derivative action filed in S.D. Cal. on 2025-11-24. Pipeworx `federal_civil_search(party: "Capricor")` did not return it. Searching the CEO's surname did: **Rosen v. Marban**, casd 3:25-cv-03270, filed 2025-11-24.

Derivative suits are brought by a shareholder against directors and officers, with the company as a nominal defendant; federal docket party search here matches the case caption, so the company name never appears.

**How to avoid:** for litigation checks, search officer and director names as well as the company, and match on court + filing date.
